1. Introduction & Definitions

Welcome to Overassessed (operated by Spaghetti Labs, LLC, a California limited liability company). These Terms of Service ("Terms") govern your access to and use of the Overassessed website located at overassessed.co (the "Website") and all related services, tools, content, and products (collectively, the "Service").

Throughout these Terms, "Overassessed," "we," "us," and "our" refer to Spaghetti Labs, LLC and the Overassessed service. "You" and "your" refer to the individual accessing or using the Service.

Key definitions used in these Terms:

  • "Service" means the Overassessed website, tools, analysis features, generated documents, and all related functionality described in Section 3.
  • "Generated Content" means any analysis, reports, narratives, comparable sales evidence, market value estimates, filing guides, PDF documents, or other materials produced by the Service for a user.
  • "Property Data" means assessed values, property characteristics, comparable sales information, and related real estate data obtained from third-party data providers and public records.
  • "AI Analysis" means the comparable sales analysis, dollar adjustments, market value estimates, and narrative content generated by artificial intelligence systems used by the Service.

2. Acceptance of Terms

2.1. Free Tier (Browsing and Property Lookup)

By accessing or using the Website — including performing a free property lookup — you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2.2. Paid Products (Data Package and Filing Guide)

Before completing any purchase through the Service, you will be asked to affirmatively confirm your acceptance of these Terms. By checking the acceptance box and completing your purchase, you agree to these Terms of Service and our Privacy Policy. You acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

2.3. Updates to These Terms

We reserve the right to update or modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice by posting a prominent notice on the Website and, where we have your email address, sending you an email notification. Non-material changes take effect when posted.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.


3. Service Description & Scope

3.1. What Overassessed Does

Overassessed is a web-based informational tool that helps California homeowners evaluate whether their property may be overassessed for property tax purposes. The Service provides data, analysis, and pre-formatted documents to support users who choose to file their own property tax appeals. The Service is an informational tool — not a professional service.

3.2. Product Tiers

The Service offers three product tiers:

3.2.1. Free Property Lookup (No charge)

  • Look up your California property by address
  • View basic assessed value data and a preliminary qualification estimate
  • Determine whether your property may benefit from further analysis

3.2.2. Data Package (one-time purchase)

  • Detailed property data and characteristics
  • Comparable sales analysis with selected comparable properties
  • AI-generated market value estimate based on comparable sales data

3.2.3. Filing Guide (one-time purchase)

  • Everything in the Data Package, plus:
  • Comprehensive AI-generated filing guide with step-by-step instructions for filing a property tax appeal
  • Pre-formatted comparable sales evidence with dollar adjustments
  • Value argument narrative
  • Downloadable PDF evidence package suitable for submission with your appeal

3.3. Geographic Scope

The Service supports properties in select California counties. The current list of supported counties is maintained on the Website. We plan to expand to additional California counties over time. Users with properties in unsupported counties may join a waitlist to be notified when their county becomes available.

3.4. What Overassessed Is Not

Overassessed is not a law firm, accounting firm, licensed real estate appraisal firm, or tax advisory service. Spaghetti Labs, LLC is not a licensed real estate appraiser, attorney, accountant, or tax advisor. We do not represent users before any government agency, assessment appeals board, or other body. See Section 6 for full disclaimers.


4. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.


5. User Responsibilities

By using the Service, you agree to the following:

5.1. Accurate Information. You will provide accurate and complete property information when using the Service. Inaccurate input may produce inaccurate results.

5.2. Verification. You are responsible for reviewing and verifying the accuracy of any data, analysis, or Generated Content before relying on it or submitting it as part of a property tax appeal.

5.3. Your Own Appeal. If you use Generated Content in a property tax appeal, you are filing your own appeal based on your own opinion of value. You adopt the analysis and conclusions as your own. At any hearing, you must be prepared to present and defend the analysis yourself.

5.4. No Misrepresentation. You must not represent AI-generated analysis or Generated Content as a formal real estate appraisal, professional appraisal opinion, or the work product of a licensed appraiser.

5.5. Filing Deadlines. You are responsible for knowing and meeting all applicable filing deadlines for your county. While we provide deadline guidance, we do not guarantee deadline accuracy, as counties may change their deadlines or procedures at any time.

5.6. Professional Consultation. You should consider consulting a licensed real estate appraiser, attorney, accountant, or other qualified professional before making decisions based on the information provided by the Service — particularly if your property has unique characteristics, significant improvements, or complex valuation issues.


Please read this section carefully. It describes important limitations of the Service.

6.1. Not Legal or Tax Advice

The Service and all Generated Content are for informational purposes only and do not constitute legal, tax, or professional appraisal advice. The analysis, estimates, and recommendations provided by the Service are generated using automated analysis of publicly available data and should not be relied upon as a substitute for professional counsel.

6.2. Not a Professional Service

Spaghetti Labs, LLC is not a licensed real estate appraiser, attorney, accountant, or tax advisor in any jurisdiction. No employee, contractor, or AI system used by the Service is providing professional advice. We do not represent users before any government agency, assessment appeals board, court, or other body.

6.3. Not a Formal Appraisal

Generated Content — including PDF evidence packages — is not a formal real estate appraisal and has not been prepared by a licensed appraiser. It should not be represented as such to any government agency, court, or other body.

6.4. Consider Professional Advice

Users should consider consulting a licensed real estate appraiser, attorney, or tax professional before making decisions based on information provided by the Service, particularly for properties with significant value, unique characteristics, or complex valuation issues.

6.5. Assumption of Risk

Your use of the Service and any reliance on Generated Content, including in connection with a property tax appeal or any other decision, is entirely at your own risk. You are solely responsible for evaluating whether the information provided is appropriate for your specific circumstances. Spaghetti Labs, LLC assumes no responsibility for any decisions you make or actions you take based on Generated Content.

6.6. No Fiduciary or Advisory Relationship

Your use of the Service does not create any fiduciary, advisory, agency, or professional relationship between you and Spaghetti Labs, LLC. We owe you no duty of care beyond what is expressly stated in these Terms.


7. AI-Generated Content

7.1. Use of Artificial Intelligence

The comparable sales analysis, dollar adjustments, market value estimates, and narrative content in Generated Content are produced by third-party artificial intelligence models using publicly available property records and comparable sales data.

7.2. Limitations of AI Analysis

While we strive for accuracy, AI-generated analysis may contain errors, omissions, or inaccuracies. AI systems may generate outputs that appear plausible but are inaccurate, incomplete, fabricated, or inconsistent with underlying data. Without limitation, the Service may select inappropriate comparable sales, apply incorrect adjustments, misinterpret property characteristics, or produce analysis that does not reflect actual market conditions. AI models are updated periodically by their providers, which may cause the same input data to produce different results at different times. You are responsible for reviewing all Generated Content for accuracy before relying on it.

7.3. User Adoption

By using Generated Content in a property tax appeal, you acknowledge that you have reviewed the analysis, understand the methodology, and adopt the conclusions as your own opinion of value.

7.4. No Professional Appraisal Standards

Generated Content is not prepared in accordance with the Uniform Standards of Professional Appraisal Practice (USPAP) or any other professional valuation standard. Generated Content should not be represented as meeting any such standard.


8. Data Accuracy & Third-Party Data

8.1. Data Sources

Property data and comparable sales information are sourced from third-party data providers (including BatchData) and public records. While generally reliable, this data may not reflect:

  • The most current assessed values or property characteristics
  • Unreported renovations, additions, or property improvements
  • Property conditions not visible in public records
  • Sales that occurred after the applicable data cutoff date (generally sales on or before March 31 of the relevant lien year for California properties)
  • Errors or omissions in the underlying public records

8.2. No Warranty of Data Accuracy

We do not warrant the accuracy, completeness, or currency of Property Data obtained from third-party sources. You should independently verify any data you intend to rely on, particularly before filing a property tax appeal.

8.3. Point-in-Time Data

Generated Content reflects Property Data available at the time of your purchase and is not automatically updated. Property data, comparable sales, assessed values, and market conditions may change after your purchase. If significant time passes between your purchase and your appeal filing, you should independently verify that the data remains current and relevant.


9. No Guarantee of Outcome

9.1. Appeal Outcomes Are Not Guaranteed

Filing a property tax appeal does not guarantee a reduction in assessed value. The assessor or assessment appeals board may agree with, partially agree with, or deny your request.

9.2. Risk of Increased Assessment

In rare cases, filing a formal appeal may result in an increased assessed value if the appeals board determines, based on evidence presented during the hearing, that the property's current assessed value is below market value. The Service cannot predict whether this will occur.

9.3. Government Fees

Filing a formal appeal may require a non-refundable processing fee payable to your county. These fees vary by county and may range from $50 to several hundred dollars per parcel. Fees are set by the county and are subject to change without notice. These fees are separate from any fees charged by Overassessed. We are not responsible for changes to government fee amounts or procedures.


10. Payment Terms

10.1. Pricing

All prices are listed in United States Dollars (USD). Current prices for all products are displayed on the Website at the time of purchase. All purchases are one-time transactions — there are no subscriptions, recurring charges, or auto-renewals. Upgrading from the Data Package to the Filing Guide is available at a reduced price reflecting your prior purchase. Payment is due at the time of purchase.

We reserve the right to change prices at any time. Price changes will not affect purchases already completed.

10.2. Payment Processing

All payments are processed securely by Stripe, Inc. ("Stripe"). By making a purchase, you also agree to Stripe's Terms of Service and Stripe's Privacy Policy. We do not receive, process, or store your credit card number or full payment method details. All payment data is handled directly by Stripe.

10.3. Taxes

Listed prices do not include applicable taxes. Any sales tax, use tax, or other taxes required by law will be calculated and added at checkout where applicable.


11. Refund Policy

11.1. General Policy

All purchases are final. The Data Package and Filing Guide are digital goods that are delivered electronically and made available to you immediately upon purchase. Because of the nature of digital goods, we generally do not offer refunds.

11.2. Technical Failure Exception

If a technical error on our end prevents delivery of your purchased product — for example, your payment is processed successfully but the Data Package or Filing Guide fails to generate — you may request a full refund. To qualify:

  • You must contact us within 7 days of the purchase date
  • We will investigate and confirm the technical failure
  • Refunds will be processed to the original payment method via Stripe

11.3. How to Request a Refund

11.4. Consumer Protection Rights

This refund policy does not affect any rights you may have under applicable consumer protection laws, including but not limited to California consumer protection statutes.


12. Intellectual Property

12.1. Our Intellectual Property

All content, software, code, design, text, graphics, logos, trademarks, and branding associated with the Service are the property of Spaghetti Labs, LLC and are protected by copyright, trademark, and other intellectual property laws. "Overassessed" is a trademark of Spaghetti Labs, LLC.

12.2. License to Generated Content

When you purchase a Data Package or Filing Guide, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Generated Content for the sole purpose of supporting your own property tax appeal for the specific property analyzed. This license does not include the right to:

  • Resell, redistribute, or sublicense the Generated Content
  • Use the Generated Content for any commercial purpose
  • Modify the Generated Content and represent it as an independent professional work product
  • Use the Generated Content for properties other than the specific property for which it was generated

12.3. Restrictions

You may not:

  • Copy, reproduce, distribute, or publicly display any part of the Service (except Generated Content as licensed above)
  • Scrape, crawl, spider, or systematically access the Service by automated means
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove any copyright, trademark, or other proprietary notices from the Service or Generated Content

13. Prohibited Uses

You agree not to use the Service to:

13.1. Violate any applicable federal, state, or local law or regulation.

13.2. Misrepresent AI-generated analysis or Generated Content as a formal real estate appraisal, professional assessment, or the work product of a licensed appraiser.

13.3. Generate documents for properties you do not own or have lawful authority to appeal on behalf of.

13.4. Access or attempt to access the Service through automated means, including bots, scrapers, crawlers, or similar tools, except as expressly permitted (e.g., search engine indexing of public pages).

13.5. Interfere with or disrupt the Service's operation, security, or infrastructure, or attempt to probe, scan, or test vulnerabilities.

13.6. Resell, commercially redistribute, or create derivative commercial products from Generated Content or any data obtained through the Service.

13.7. Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

13.8. Use the Service to collect or harvest personal information about other individuals.


14. Third-Party Services

14.1. Third-Party Providers

The Service relies on third-party services to operate, including:

  • Stripe for payment processing
  • BatchData for property data and comparable sales information
  • Anthropic and other AI model providers for AI-powered analysis and content generation
  • Google for address autocomplete and map imagery
  • Resend for transactional email delivery
  • Vercel for website hosting

14.2. Third-Party Terms

Each of these providers has its own terms of service and privacy policies. We are not responsible for the practices, availability, accuracy, or policies of third-party services. Your interactions with third-party services are governed by their respective terms.

14.3. External Links

The Service may contain links to third-party websites, including county assessor websites, government resources, and filing portals. These links are provided for your convenience only. We do not control, endorse, or assume responsibility for the content or practices of any third-party websites.


15. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to the practices described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.


16. Warranty Disclaimer

THE SERVICE, INCLUDING ALL CONTENT, GENERATED CONTENT, PROPERTY DATA, AI ANALYSIS, AND FUNCTIONALITY, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPAGHETTI LABS, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, fitness for a particular purpose, and non-infringement;
  • Any warranty that the Service will be uninterrupted, timely, secure, or error-free;
  • Any warranty that the results obtained from the Service will be accurate, reliable, or complete;
  • Any warranty regarding the accuracy of Property Data obtained from third-party sources;
  • Any warranty regarding the quality or reliability of AI-generated analysis or Generated Content.

17. Limitation of Liability

17.1. Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, IN NO EVENT SHALL SPAGHETTI LABS, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses;
  • Damages arising from the outcome of any property tax appeal, whether the appeal is successful, unsuccessful, or results in an increased assessment;
  • Damages arising from decisions made based on AI-generated analysis or Generated Content;
  • Damages arising from errors or inaccuracies in third-party Property Data;
  • Damages arising from unauthorized access to or alteration of your data;
  • Damages arising from the conduct of any third party on or related to the Service.

17.2. Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

17.3. Savings Clause

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS. NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.


18. Indemnification

You agree to indemnify, defend, and hold harmless Spaghetti Labs, LLC and its members, officers, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or Generated Content;
  • Your property tax appeal or any filings made using Generated Content;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your misrepresentation of Generated Content as a formal appraisal or professional opinion.

19. Termination

19.1. Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms.

19.2. Discontinuation of Service

We may modify, suspend, or discontinue the Service (or any part of it) at any time. For planned discontinuations, we will make reasonable efforts to provide advance notice and allow users to download any purchased Generated Content.

19.3. Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately.
  • We are not obligated to retain any of your data, except as required by law or our data retention policies (see Privacy Policy).
  • The following provisions survive termination: Sections 6 (Disclaimers, including Assumption of Risk and No Fiduciary or Advisory Relationship), 7 (AI-Generated Content), 8 (Data Accuracy & Third-Party Data), 9 (No Guarantee of Outcome), 12 (Intellectual Property), 16 (Warranty Disclaimer), 17 (Limitation of Liability), 18 (Indemnification), 20 (Governing Law & Dispute Resolution), and 22 (Miscellaneous).

20. Governing Law & Dispute Resolution

20.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

20.2. Dispute Resolution; Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Location. Arbitration will take place in Alameda County, California, or, at your election, in the county of your residence within California.

Class Action Waiver. You and Spaghetti Labs, LLC agree that all claims must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class, consolidated, or representative proceeding.

Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court in Alameda County, California, if the claim qualifies under that court's jurisdictional limits.

Opt-Out Right. You may opt out of this arbitration provision by sending written notice to [PLACEHOLDER: support email address] within 30 days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of this arbitration provision. If you opt out, Disputes will be resolved in the state or federal courts in Alameda County, California, as described in Section 20.3.

Severability of Class Action Waiver. If the class action waiver in this Section 20.2 is found to be unenforceable by a court of competent jurisdiction, this entire arbitration provision (Section 20.2) shall be void, and any Dispute shall proceed in court under Sections 20.1 and 20.3.

20.3. Jurisdiction

For any Dispute not subject to arbitration — including Disputes where you have exercised the opt-out right in Section 20.2, claims properly brought in small claims court, or Disputes where the arbitration provision has been voided — any legal action or proceeding shall be brought exclusively in the state or federal courts located in Alameda County, California. You consent to the personal jurisdiction of such courts.


21. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on the Website with the "Last Updated" date at the top.

  • Material changes: We will provide at least 30 days' notice via email (if we have your email address) and a prominent notice on the Website before material changes take effect.
  • Non-material changes: Minor updates (e.g., formatting, clarifications that do not alter your rights) take effect when posted.
  • Your options: If you disagree with updated Terms, you may stop using the Service. Continued use after the effective date constitutes acceptance of the updated Terms.

22. Miscellaneous

22.1. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Spaghetti Labs, LLC regarding the Service, and supersede all prior agreements, understandings, and communications, whether written or oral.

22.2. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

22.3. No Waiver

Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or the right to enforce it at a later time. A waiver of any provision is only effective if in writing and signed by an authorized representative of Spaghetti Labs, LLC.

22.4. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.

22.5. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, or failures of third-party services.

Section headings are for convenience only and do not affect the interpretation of these Terms.
